Contracts • Contract Formation
K#012
Legal Definition
There is no offer where any of its material terms are vague or ambiguous.
Plain English Explanation
The practical purpose of a contract is to provide some ability to a third party to decide whether or not the contract was successfully obeyed, or, if not, who is at fault for it being broken. For this reason, if a contract is too vague when it comes to important terms, then it will be difficult (or impossible) for a third party to be able to help. In other words, offers that are too vague aren't really offers.
